Fair terms for serious business software.

These Terms of Service form a legal agreement between you and Duka Track Softwares Limited. If you use DukaTrack for a business, you confirm that you have authority to accept these terms for that business.

If you do not agree, you should not access or use DukaTrack services.

DukaTrack provides cloud ERP, POS, inventory, payments, accounting, CRM, wholesale, credit sales, branch management, reporting, online store, AI, support, onboarding, and related business management services. We may update, improve, remove, rename, or change features as the platform evolves.

Some features may depend on third-party providers such as payment processors, mobile money providers, banks, hosting providers, messaging tools, tax systems, or integrations.

You are responsible for your account, your staff accounts, your passwords, and activities carried out through your workspace. Use accurate registration details and keep billing, contact, and business information updated.

You should assign staff only the permissions they need. Shared accounts, weak passwords, and delayed removal of former staff may expose your business to loss, error, or misuse.

DukaTrack may offer free trials, discounted plans, monthly plans, annual plans, campaign offers, onboarding fees, setup fees, add-ons, usage-based charges, or custom commercial arrangements.

Fees are generally billed in advance and are non-refundable unless required by law or agreed in writing. Failure to pay may lead to suspension, restricted access, downgrade, or termination. Prices, offers, and packages may change with reasonable notice where required.

You are responsible for applicable taxes, levies, bank charges, mobile money charges, payment processor fees, and regulatory costs unless stated otherwise.

• Do not use DukaTrack for fraud, illegal trading, money laundering, tax evasion, abusive conduct, or activity that violates applicable law.
• Do not attack, scan, overload, reverse engineer, scrape, copy, resell, or interfere with the platform without written permission.
• Do not upload malicious code, unlawful content, stolen data, or information you do not have the right to process.
• Do not share staff accounts or bypass permissions, limits, billing controls, security features, or usage restrictions.

You keep ownership of the business data you submit to DukaTrack. We process it to provide, secure, support, improve, and maintain the platform, comply with law, prevent abuse, and handle legitimate business needs.

We may use contact, account, lead, demo, campaign, and usage information for marketing, product education, offers, onboarding, newsletters, and customer engagement as explained in our Privacy Policy. You can opt out of marketing, but service, billing, legal, and security messages may still be sent.

You are responsible for the accuracy, legality, quality, and completeness of the data you enter, including products, prices, taxes, customers, staff, payment records, invoices, stock counts, credit balances, and reports.

DukaTrack helps organize business records, but it does not replace professional accounting, tax, legal, audit, or financial advice. You should review reports and consult qualified professionals where needed.

DukaTrack, Duka Track, DukaPOS, DukaStore, DukaAI, Kodiloop, our logos, designs, software, content, documentation, workflows, interfaces, source code, and product names belong to Duka Track Softwares Limited or its licensors.

You may not copy, modify, reverse engineer, resell, frame, exploit, imitate, or misuse our platform or brand without written permission.

We work to keep DukaTrack reliable, but no cloud service is always available. Interruptions may happen because of maintenance, network failures, third-party providers, payment systems, cyber incidents, force majeure events, customer device issues, or events outside our control.

Support channels, response times, onboarding scope, and service levels may differ by plan or agreement.

We may suspend or terminate access if fees are unpaid, there is suspected fraud, security risk, illegal activity, misuse, violation of these terms, regulatory risk, or harm to DukaTrack, other customers, or third parties.

After termination, access may stop immediately. We may retain data for a limited period for recovery, legal, tax, dispute, security, or operational purposes before deletion cycles complete.

DukaTrack is provided as is and as available to the maximum extent permitted by law. We do not promise that the platform will be uninterrupted, error-free, or suitable for every business situation.

To the maximum extent permitted by Kenyan law, Duka Track Softwares Limited will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profit, lost revenue, lost data, business interruption, reputational loss, or missed opportunities.

Where liability cannot be excluded, our total liability is limited to the amount paid to DukaTrack for the affected service in the twelve months before the claim, unless the law requires otherwise.

You agree to defend and indemnify Duka Track Softwares Limited, its directors, employees, contractors, affiliates, and partners against claims, losses, costs, damages, penalties, and legal fees arising from your use of DukaTrack, your data, your breach of these terms, your violation of law, or your infringement of third-party rights.

These terms are governed by the laws of the Republic of Kenya. Parties should first try to resolve disputes in good faith. If that fails, disputes may be referred to arbitration in Nairobi under the Arbitration Act, 1995, unless a court or applicable law requires a different process.

We may update these terms as our services, laws, or business needs change. Material updates may be communicated through the platform, email, website notice, or other reasonable channels. Continued use after changes take effect means you accept the updated terms.
